Legal Counsel, Commercial Transactions

This position of Legal Counsel, Commercial Transactions in EMEA Legal team will be responsible for supporting Commercial Transactions in EMEA with a primary focus on France and Germany in connection with the  preparation and negotiation of customer contracts for data centre services, advising on associated contractual issues affecting customers and providing general support for customer contracting. The successful candidate will work closely with and have a reporting line to the Legal Director EMEA Commercial Transaction who is based in Amsterdam. 

Proactiveness, exceptional attention to detail, discretion, problem-solving skills and ability to manage competing priorities on daily basis are strongly desired.

Principal Job Responsibilities

The role is to provide senior leadership of the EMEA Legal team in a full range of tasks, including the following:

  • Drafts, reviews, and negotiates complex customer contracts to promote Equinix’s commercial interests whilst ensuring contracts properly balance risk
  • Oversees development of and approvals for potential solutions to customer requests, working with and coordinating activities between various departments (e.g., sales, deal management, finance, tax, and insurance), to ensure deals generate the optimal outcome for all Equinix stakeholders
  • Analyzes customer requests for information (e.g., RFQs, RFPs, and RFIs), advises commercial leaders on how best to respond, and drafts responses to ensure quick, accurate, and comprehensive follow up
  • Partners with the Sales and Commercial managers to develop strategies for customer requirements based upon in-depth business and risk analysis
  • Supports the Global Sales team in closing regional or global tasks quickly and working with regional counsel
  • Advises on and assists customer related disputes and claims
  • Advises on and assists in insurance claims related to customer contracts
  • Conducts due diligence related to customer agreements in M&A transactions as assigned by deal team
  • Provides legal advice related to customer contracts
  • Identifies when customer contracts, negotiations, and interactions do not comply with Equinix policies, processes, and procedures and escalates to appropriate party so they may address non-compliance
  • Prioritizes work, based on deal size and complexity, to generate the most sales and profit for the company
  • Responds to inquiries regarding contract obligations to provide contractual language
  • Responsible for any other customer contract related issues as may arise or be assigned by the Legal Director, EMEA Commercial Transactions(or, Vice President, Legal)
  • Completes customer contract drafting tasks, including but not limited to early contract termination, novations, price increases, renewals, amendments, customer rights, to ensure changes are properly documented
  • Educates Sales and Commercial team members on legal review processes and procedures, legal documents, applicable laws and negotiation strategies to improve sales win rates, sales process effectiveness, and efficiency
  • Develops more templates for customer transactions (e.g., new product offering, new policies)
  • Engages in a process with the business departments and global counterparts to enhance the Equinix approved standards
  • Develops more legal processes, policies and procedures where necessary to enable the Legal department to engage with the business in a more streamlined and organized fashion
  • Works with Equinix attorneys and management globally in creation of processes and best practices


Qualifications

  • Admitted to practice law and experience in France or Germany preferred
  • Excellent French and German written and verbal communication skills required. English verbal communication skills required as a standard
  • At least 5-7 years’ relevant work experience gained in a commercial organization or legal department, as well as being a self-starter and a team player
  • Ability to research and coordinate various business-related contract issues, and think through issues and communicate clearly
  • Demonstrates ability to learn quickly, work independently and multi-tasking
  • Ability to work with tight deadlines
  • Exercises skills of good judgment in identifying issues that require escalation
  • Good people skills to work closely with individuals at all levels and in all areas of the organization, including external customers in a fast-paced environment
  • Good organizational skills, and a very strong attention to detail is required, as is strong computer skills
  • Location: Amsterdam, Frankfurt or London preferred
