About the Role
You will work closely with the Group Company Secretary and the Head and team members of Group Board Services to deliver high quality corporate governance and corporate secretariat services, support and advice to all levels of the organisation.
You will perform the following:
Draft and coordinate changes to Swiss Re Group corporate governance documentation and governing documents of the listed holding Swiss Re Ltd and the main operative regulated company Swiss Reinsurance Company Ltd
Draft and support AGM invitations and related tasks
Be responsible for drafting and coordinating all corporate governance aspects of the Annual Report, in particular the Corporate Governance Report
Ownership for FINMA filings and relationship with respect to approval of top management and organizational changes
Responsibility for completeness and further development of processes to ensure compliance with regulatory requirements at the highest board and management level of the Swiss Re Group
Provide guidance, advice and approvals to subsidiaries on corporate and licensing requirements worldwide
Lead the company secretaries' practice at Group level
Act as deputy of the Group Company Secretary
About the Team
The Group Board Services team supports the Chairman, the Board of Directors and the Group Company Secretary and has the overall responsibility for managing the end-to-end Board and Board Committee processes and for the organisation and execution of all meetings. In addition, the team is driving all stakeholder interactions with senior management and externals, providing necessary legal and paralegal support and being accountable for all administrative and logistical support activities (including events) for the Chairman and Board members. Finally, the team provides adequate service delivery to Swiss Re‘s Annual General Meeting.
Swiss qualified lawyer
Admission to the bar, Attorney at law
Minimum of 10 years working experience in international law firm or large corporation
In depth Corporate Governance expertise
Experience with listed companies at the Swiss stock exchange
Financial institutions, preferably re-/insurance experience
Preferably experience in relationship with FINMA
Proficient in English and German
Personal Skills
High level of integrity and ability to work in a highly confidential environment
Able to provide high-quality results independently and under time-pressure
Collaborative team-player, with enthusiasm for developing and empowering other team members
Excellent communication skills at all levels in- and outside the organization
