The Opportunity

Abbott is currently seeking an experienced transactional attorney to lead Abbott’s team of in-house attorneys in acquisitions, mergers, divestitures, equity investments, and other complex transactions, including cross-border transactions, for all Abbott businesses.  Works closely with senior leaders in all Abbott businesses, as well as in Abbott’s Legal Division, Corporate Licensing & Acquisitions and Ventures organizations, and other Corporate functions.

The successful candidate will possess demonstrated expertise in handling and managing mergers and acquisitions. Experience with cross-border transactions is strongly preferred.

What You’ll Work On

  • Active involvement in and management of all aspects of acquisitions, divestitures, and equity investments, including structuring transactions, conducting due diligence, negotiating transactions, drafting agreements, and advising internal stakeholders; 
  • Identifying issues, developing and evaluating alternatives, and implementing solutions; and 
  • Advising business leaders on legal and other issues and collaborating with business leaders, legal colleagues, and outside counsel to drive desired outcomes.
     

Location of Position

  • Located at Abbott’s headquarters in Abbott Park, Illinois or at our Chicago office, Willis Tower
  • This role will report to the Abbott Vice President of Specialty Legal 

Managerial Duties

  • Will manage a small team of lawyers and support professionals.

Qualifications

  • Possess a Juris Doctorate degree from an accredited law school, demonstrate a strong academic background, and have, or be able to obtain, appropriate licensure to practice law in Illinois
  • 12+ years of experience handling and managing mergers and acquisitions at a law firm and/or large corporation 
  • Experience handling and managing all aspects negotiated deals, including equity investments, acquisitions, asset purchases and sales, divestitures, license agreements, supply agreements, distribution agreements, stock purchase agreements, settlement agreements, joint venture agreements, and co-marketing agreements.  Experience should include all phases of the transaction, including initial posturing, deal structuring, due diligence, term sheet and contract negotiation, advising business partners, issue resolution, and post contract disagreement resolution
  • Health care, life sciences, or other regulated industry experience preferred 
  • Experience in market/product/technology assessment across a broad range of technologies
  • Foundational knowledge of legal issues that relate to corporate structure, transactional structure, intellectual property, antitrust, health care regulations, and litigation
  • Experience successfully navigating a matrix environment and effectively influencing cross-functional teams
  • Proven ability to lead, inspire, and mentor attorneys and/or paralegals
  • Demonstrated success in strategic interactions and negotiations with third parties
  • Ability to handle multiple projects in fast-paced environment and exercise sound legal and business judgment
  • Ability to independently handle highly complex matters with minimal supervision and understand how to appropriately and timely elevate critical issues to senior management 
  • Excellent interpersonal, strategic thinking, communication, and organizational skills

The base pay for this position is $231,300.00 – $462,700.00. In specific locations, the pay range may vary from the range posted.
